Terms of Use

These Terms of Use (“Terms”) are an agreement between you and ThirdPartyIQ, Inc., a Delaware corporation (“ThirdPartyIQ,” “we,” “us”), and govern your use of thirdpartyiq.com (the “Site”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About the Site

The Site provides information about ThirdPartyIQ, our company, and our products. It is intended for business users in the United States.

2. The ThirdPartyIQ platform is governed separately

These Terms do not give you access to the ThirdPartyIQ platform. Use of the platform is governed by a separate written agreement between ThirdPartyIQ and each customer. If these Terms conflict with that agreement, that agreement controls.

3. Information only, not professional advice

Content on the Site, including articles in our Insights section, is general information. It is not legal, regulatory, compliance, audit, accounting, or risk-management advice, and it is not a substitute for advice from a qualified professional about your organization’s circumstances. References to laws, regulations, and supervisory guidance may not reflect the most current developments.

Descriptions of products, features, availability, and timelines, including our compliance program, reflect our plans at the time they were written and may change.

4. Our content and trademarks

The Site and its content, including text, graphics, logos, and design, are owned by ThirdPartyIQ or its licensors and are protected by intellectual property laws. You may view the Site and share links to it, and you may print or save a reasonable number of pages for your own internal, non-commercial reference, as long as you keep any copyright and other notices intact. Any other use requires our prior written permission.

ThirdPartyIQ, the ThirdPartyIQ logo, and our product names are trademarks of ThirdPartyIQ, Inc. You may not use them without our prior written permission, except to refer to us and our products accurately.

5. Acceptable use

When using the Site, you agree not to:

• use the Site in violation of any law or the rights of others;
• attempt to gain unauthorized access to the Site or the systems behind it, or interfere with or disrupt the Site;
• upload or transmit malicious code;
• scrape, copy, or collect content from the Site by automated means, other than through search engines that follow our robots.txt file;
• submit false information or impersonate anyone through the contact form or any other channel; or
• use the Site to send spam or unsolicited commercial messages.

If you believe you have found a security vulnerability on the Site, please report it to info@thirdpartyiq.com rather than testing it further.

6. Information you send us

We handle personal information you submit through the Site as described in our Privacy Policy. Please do not send us confidential information through the Site; submitting information through the Site does not create a confidentiality obligation or any other relationship between you and ThirdPartyIQ. If you send us ideas, suggestions, or feedback, we may use them without restriction or obligation to you.

7. Text messages

You agree to receive information messages (appointment reminders, account notifications, etc.) from ThirdPartyIQ, Inc. Message frequency varies. Message and data rates may apply. For help, reply HELP or email us at support@thirdpartyiq.com. You can opt out at any time by replying STOP.

8. Third-party sites and services

The Site links to and uses services operated by others, such as our meeting-scheduling page and our LinkedIn page. We are not responsible for their content or practices, and your use of them is governed by their own terms and privacy policies.

9. Disclaimer of warranties

The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by law, ThirdPartyIQ and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if advised of the possibility of those damages. Our total liability for any claim arising out of or related to the Site will not exceed one hundred U.S. dollars (US$100).

11. Indemnification

You agree to indemnify and hold harmless ThirdPartyIQ and its officers, employees, and agents from any claims, losses, and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Site.

12. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time by posting a new version on the Site and changing the effective date above. Your continued use of the Site after a change means you accept the updated Terms.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and ThirdPartyIQ about the Site.
